| Fusion Staffing will source and present candidates to (Client) based on presented staffing requirements that have been given in the search criteria form. |

| Deliverables will include resumes and lists of potential candidate information such as email, phone numbers and websites. Additional sourced information will be provided based on relevance. As candidates are identified we will verify contact information, availability and interest level. All information will be made available through Recruiters Base Camp and can be moved to the Clients candidate tracking or data storage system upon request. |

| Resumes submitted to Client by Fusion Staffing contain information furnished by individual candidates. Client acknowledges that this information has not been independently verified by Fusion Staffing. |

| Payment for services is invoiced on search start date and due upon receipt of invoice. A 14 days grace period will be given for invoice preparation. Payment received later than 30 business days will be considered late. |

| In the event that Customer fails to pay the charges billed in a timely manner, Customer agrees to pay, in addition to the charges billed, a monthly late charge at the rate of 1.8% per month of the unpaid account balance plus any and all collection and litigation charges incurred by Fusion Staffing including reasonable attorney’s fees and court costs. |

| Customer agrees that these terms and conditions will apply to all future orders. Customer agrees that the terms of this agreement shall be binding on its successors, subsidiaries, affiliates or assignees. |
